VEVERS MANAGEMENT INC
TERMS OF USEĀ
Effective date:Ā 19 October 2026
These Master Terms of Use ("Terms") are a binding agreement between Vevers Management Inc., operating as HER Management Edge ("Company," "we," "us," "our"), and you, the person purchasing, accessing or participating ("Client," "you," "your").
These Terms apply to every program, course, coaching call, community, download, tool and other offering we provide (each a "Program"), including The No-Chase Leadership Method and the HER Management Edge coaching program. Please read them in full, along with the addendum for your Program, before you purchase. If you do not agree, do not purchase or access any Program.
1. Scope and Structure
1.1 Master Terms and Program Addenda. Each Program may have its own addendum (at the end of these Terms) setting out details such as what's included, pricing, guarantees and access. The addendum and these Terms apply together. Where an addendum expressly differs from these Terms, the addendum controls for that Program.
1.2 Agreement. By checking the agreement box at checkout, completing a purchase, or accessing any Program, you confirm that you have read, understood and agree to be bound by these Terms and the applicable addendum.
2. Intellectual Property, License and Prohibited Uses
2.1 Ownership. We own all intellectual property in every Program, including copyrights, trademarks, trade secrets and all original and derivative works. This includes, without limitation: video and audio lessons, live and recorded calls, replays, workbooks, worksheets, action trackers, templates, scripts, checklists, frameworks, methods and systems (including The No-Chase Leadership Method and the HER Management Edge methodology), sales and marketing copy, community materials, and any AI tools, prompts or outputs we provide ("Content"). Nothing in these Terms transfers ownership of any Content to you. All rights not expressly granted are reserved.
2.2 Your License. When you purchase or are given access to a Program, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Content for your own professional development, for one individual only.
2.3 Permitted Use With Your Team. You may use the worksheets, templates, trackers, scripts and tools from a Program with the people you lead inside your own organization, as part of your leadership duties. For example, you may complete a worksheet with a team member or use a template in a one-on-one meeting. These materials remain our property, and you must keep any copyright notices or attribution on them intact.
2.4 Prohibited Uses. Without our prior written permission, you may not:
- Share your login, or give anyone else access to the Program portal, replays or community.
- Teach, present, deliver or re-record the training, in whole or in part, to anyone else, including your team, colleagues, clients or organization (for example, running a workshop or lunch-and-learn based on the Program). Your team may benefit from the tools you use with them, but the training itself is for you alone.
- Copy, screen record, download (except where we provide a download), reproduce, publish, post or distribute any Content.
- Sell, license, rebrand or repackage any Content, or include it in any product, course, coaching, consulting, corporate training or other service.
- Claim authorship of any Content or remove ownership notices.
- Upload Content to any AI tool to train, build or improve a model, or to create a competing or derivative product.
- Use any Content for organization-wide rollout or group training without a separate written license.
2.5 Team and Corporate Licenses. Organizations that want access for multiple people or want the training delivered to a team can contact us about a separate written agreement.
2.6 Enforcement. We may monitor use of our platforms to protect our Content. Any breach of this Section may result in immediate suspension or termination of your access without refund, and we may pursue all remedies available at law, including injunctive relief and damages.
3. Payment Terms and Chargebacks
3.1 Pricing and Authorization. Prices and currency are as shown at checkout. By completing a purchase, you authorize us and our payment processors to charge the full amount shown. Payments are processed securely through our checkout provider (Kajabi, Stripe, and its payment processors); we do not store your full card details.
3.2 Payment Plans Through Klarna. If you choose to pay over time using Klarna (or another financing option offered at checkout), your payment plan is a separate agreement between you and that provider and is governed by its terms. We are paid by the provider, and your repayment obligations are owed to the provider, not to us. Missed or late payments are handled by the provider under its terms. A dispute with the provider does not entitle you to a refund from us except as set out in these Terms. If a payment is reversed or cancelled, we may suspend your access until it is resolved.
3.3 Taxes and Fees. Applicable sales taxes (such as HST) are added where required. You are responsible for any currency conversion, bank or card fees charged by your financial institution.
3.4 Contact Us Before Disputing a Charge. If you have a billing concern, email [email protected] with the subject line "Billing Concern" and allow us seven (7) business days to resolve it before you open a dispute or chargeback with your bank, card issuer or Klarna. This does not limit any rights you have under applicable law.
3.5 Chargebacks. Disputing a charge for a Program you were given access to as described is a breach of these Terms. If you do, we may suspend your access while the dispute is open, provide evidence to the payment provider (including your acceptance of these Terms at checkout, access records and participation records), terminate your access, and seek to recover any dispute fees and costs to the extent permitted by law.
4. Refunds and Guarantees
4.1 All Sales Final. Because Programs provide immediate access to digital content, all sales are final and non-refundable, except as expressly stated in a Program addendum or where required by applicable law.
4.2 Guarantees. Some Programs include a guarantee, described in that Program's addendum. To qualify, you must meet every condition stated there. Unless the addendum says otherwise, a guarantee is a commitment to provide additional support, not a refund, and it has no cash value.
4.3 What Does Not Qualify. Refunds or guarantee support will not be provided for change of mind or personal circumstances; not completing the work, attending calls or accessing materials; technology issues on your end; dissatisfaction where the Program was delivered as described; or requests made after a stated deadline.
5. Access and Delivery
5.1 Delivery. Programs are delivered through our online learning portal (currently Kajabi), live video calls (currently Zoom), and downloadable materials. We may change platforms or delivery methods, provided the core content stays available for your access period.
5.2 Lifetime Access. Where a Program includes "lifetime access," this means access for the lifetime of the Program: for as long as we actively offer and host that Program. It does not mean the lifetime of the Client. If we retire a Program, we will give you at least thirty (30) days' notice by email so you can download any materials provided for download.
5.3 Live Calls and Replays. Live call schedules are shared inside each Program and may be rescheduled when needed. Recorded calls are posted as replays for the Program's access period unless the addendum says otherwise. We are not responsible if a recording fails or is unavailable due to a technical issue.
5.4 Content Updates. We may update, replace or remove Content at any time to keep it accurate and useful. We are not required to keep earlier versions available.
5.5 Your Account and Technology. Your account is for one person, and you are responsible for keeping your login secure. You are responsible for the device, software and internet connection needed to access the Program.
6. Third-Party Platforms
6.1 Platforms We Use. Programs are delivered or supported through third-party services, currently including Kajabi (portal, checkout and community), Zoom (live calls) and Klarna (optional financing). Your use of these services is also subject to their own terms and privacy policies.
6.2 Our Responsibility. We are not responsible for outages, interruptions, feature changes, policy changes or account restrictions caused by a third-party platform. If a platform changes or discontinues a service in a way that affects a Program, we may move the Program to an alternative platform or provide an equivalent resource.
7. Use of AI
7.1 How We Use AI. We may use artificial intelligence tools in creating and delivering Programs, for example to help draft materials, transcribe or summarize calls, or provide AI-assisted tools. We review AI-assisted Content before we provide it.
7.2 Accuracy. AI-generated outputs can be incomplete or inaccurate and are not professional advice. You are responsible for reviewing any output before relying on it.
7.3 What Not to Enter. Do not enter confidential information about your organization, or personal information about your employees or other people, into any AI tool we provide.
7.4 Ownership. AI prompts, tools and templates we provide are our Content under Section 2.
8. Privacy
8.1 What We Collect and Why. We collect the personal information you provide (such as your name, email address and billing details) and information generated through your participation (such as your progress, submissions, community posts and call recordings). We use it to deliver and improve Programs, communicate with you about your purchase, provide support, and as described in Section 9.
8.2 Payments. Payment details are processed by our checkout and payment providers (Stripe, Kajabi, its processors, and Klarna if you choose it). We do not store your full card details.
8.3 Marketing Emails. With your consent, we may send you emails about our Programs and offers. You can unsubscribe at any time using the link in any email.
8.4 Service Providers and Storage. Your information is stored and processed by the service providers we use to run our business, some of which may store data outside Canada (for example, in the United States). We do not sell your personal information.
8.5 Your Rights. You may request access to, or correction of, the personal information we hold about you by emailing [email protected].
8.6 Privacy Policy. Our Privacy Policy provides more detail and forms part of these Terms.
9. Testimonials, Recordings and Your Contributions
9.1 What This Covers. "Contributions" means anything you share in connection with a Program, including:
- Your words, voice, image and video on live group calls and one-on-one sessions
- Posts, comments and messages in a Program community
- Chat messages during calls
- Responses to testimonial forms, surveys and check-ins
- Emails and direct messages you send us
- Action trackers, worksheets and other submissions
- Public social media posts that mention or tag us or a Program
9.2 Recording. Live group calls and one-on-one sessions within a Program may be recorded. Discovery calls are covered separately in Section 10 and are not used in marketing.
9.3 Your Consent and License to Us. By accepting these Terms and participating in a Program, you expressly consent to, and grant us, a worldwide, perpetual, royalty-free, non-exclusive license to record, use, reproduce, edit, excerpt, transcribe, display, publish and distribute your Contributions, in whole or in part, in any media, for:
- Delivering and improving our Programs, including replays and course content
- Educational and training materials
- Marketing, advertising and promotion, including our website, sales pages, emails, social media, paid ads, case studies and presentations
This license extends to the contractors and platforms that help us produce and distribute these materials, and to any successor to our business. It is subject to your choices in Section 9.5.
9.4 How You Will Be Identified. By default, we will identify you by first name onlyĀ or by your name as you've identified on the "zoom" program. We will not use your last name, employer, job title, location or any other identifying detail without your permission. If you appear on camera or speak on a recorded call, your image and voice may appear in clips we use, along with your first name (or your username on zoom).
9.5 Your Choices.
- Stay off camera. You may join calls with your camera off, participate by chat only, or listen without speaking.
- Ask not to be named. Email [email protected] with the subject line "Do Not Name Me." We will not use your name in any materials we create after we receive your request, and we will make reasonable efforts to remove your name from materials we control that are already published.
9.6 Protecting Sensitive Information. We will not knowingly use in marketing any part of a Contribution that reveals confidential information about your organization, the names of your team members, or sensitive personal details such as health or family matters.
9.7 Editing. We may edit Contributions for length and clarity, but we will not edit them in a way that changes or misrepresents what you said.
9.8 No Compensation or Approval. You will not receive payment or other compensation for our use of your Contributions, and you agree that we do not need your approval of the final materials before they are used.
10. Discovery Calls
This Section applies to discovery calls and other pre-enrollment consultations, including those for the HER Management Edge coaching program. By booking one, you agree that:
- The call may be recorded for quality assurance and internal coaching purposes.
- Recordings are stored securely and kept strictly confidential.
- Recordings will not be shared publicly, used in marketing materials, or given to any third party without your explicit written consent.
- You may ask that the call not be recorded by telling Shauna Vevers before it starts. Your request will be honoured with no impact on your enrollment or the discovery process.
Questions about how recordings are stored or used can be sent to [email protected] before your call.
11. Community Standards and Confidentiality
11.1 Respect. Treat other participants, guests and our team with respect and professionalism. Disagree constructively, without personal attacks.
11.2 Group Confidentiality. What's shared in the group stays in the group. Do not share the names, stories or identifying details of other participants outside the Program.
11.3 Protect Your Workplace. When discussing your team or organization, leave out names and confidential details. Share situations, not identities.
11.4 Prohibited Conduct. You may not:
- Harass, bully, threaten or discriminate against anyone
- Share illegal, harmful or defamatory content
- Screenshot, screen record or otherwise copy calls or community content
- Pitch, sell or recruit participants for your own products or services without our written permission
11.5 Limits of Group Privacy. We expect everyone to honour confidentiality, but we cannot guarantee the privacy of what you share in group settings. Please use discretion.
11.6 Removal. We may remove anyone who breaches these standards or disrupts the learning environment, temporarily or permanently, without refund.
12. Disclaimers and No Guarantee of Results
12.1 Educational Coaching Only. Programs provide general leadership education and coaching. They are not legal, human resources, employment law, medical, mental health, therapeutic or financial advice, and participation does not create a professional relationship in any regulated field.
12.2 Workplace Decisions. Before acting on decisions such as performance management, discipline or termination, follow your organization's policies and consult your HR department or a qualified professional.
12.3 Results Vary. We do not guarantee any specific outcome, including a promotion, raise, time saved or change in team performance. Testimonials and examples are illustrations, not promises; your results depend on your effort, circumstances and organization.
12.4 Your Responsibility. You are responsible for how you apply what you learn and for complying with your employer's policies and applicable laws.
13. Limitation of Liability
13.1 Maximum Liability. To the fullest extent permitted by law, our total liability for any claim relating to these Terms or a Program will not exceed the amount you actually paid for the Program that gave rise to the claim.
13.2 Excluded Damages. To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, including lost income, lost opportunities or promotions, employment consequences, loss of data, or claims by third parties arising from your actions.
13.3 Events Beyond Our Control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, illness, public health emergencies, power or internet outages, or third-party platform failures. In those cases, we may reschedule or change the format of affected sessions.
14. Indemnification
You agree to indemnify and hold harmless Vevers Management Inc., its owners, employees and contractors from any claims, losses and costs (including reasonable legal fees) arising from your misuse of a Program or its Content, your breach of these Terms, or your violation of any law or the rights of a third party.
15. Governing Law and Dispute Resolution
15.1 Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
15.2 Resolve It With Us First. If you have a concern or dispute, email a written description to [email protected]. We will both make a good-faith effort to resolve it within thirty (30) days before either of us takes further action.
15.3 Courts. If a dispute is not resolved, it will be decided by the courts of the Province of Ontario, subject to any consumer protection rights you have where you live. Nothing in this Section prevents either party from using small claims court.
16. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or inside the Program portal. The version in effect when you purchased governs that purchase, except for changes required by law. Changes to pricing, refunds or guarantees will never apply retroactively to a past purchase.
17. Contact and Support
Send all program questions, support requests and notices under these Terms to [email protected]. We aim to respond within two to three (2–3) business days, excluding weekends and Canadian statutory holidays. Messages sent through social media may not be received or acted on.
Support covers accessing your Program, navigating the content, and questions about these Terms. It does not include additional coaching beyond what your Program includes.
18. General
- Entire agreement. These Terms, the applicable addendum and our Privacy Policy are the entire agreement between us about a Program.
- Severability. If any part of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Our not enforcing a provision is not a waiver of our right to enforce it later.
- Assignment. You may not transfer your rights under these Terms. We may assign them to a successor to our business.
19. Acceptance and Electronic Signature
By checking the agreement box at checkout, completing a purchase, or accessing any Program, you:
- Confirm that you have read, understood and agree to these Terms and the applicable addendum.
- Agree that your electronic acceptance has the same legal effect as a handwritten signature.
- Confirm that you are at least the age of majority where you live and able to enter into this agreement.
- Expressly consent to the recording and use of your Contributions as described in Section 9.
Addendum A: The No-Chase Leadership Method
This addendum is part of the Master Terms of Use above. All Master Terms apply to The No-Chase Leadership Method (the "Method"). Where this addendum expressly differs, it controls.
A1. What's Included. The Method is delivered through our Kajabi portal and Zoom and is built around 21 daily actions and an action tracker. It includes: video lessons, the 15 daily actions, the action tracker, worksheets and templates, and any live Zoom calls.
A2. Pricing.Ā $197 USD, paid in full at checkout, or over time through Klarna under Section 3.2.
A3. Access. Lifetime access to the Method's materials and replays, meaning for the lifetime of the Method as defined in Section 5.2.
A4. Refunds. All sales are final and non-refundable. The No-Chase Guarantee below provides personal support, not a refund.

If you're eligible, Shauna Vevers will personally review your submissions and meet with you in one focused sessionĀ for 45 minutes over Zoom to identify exactly where the gap is and how to close it.
The guarantee is not a refund and has no cash value. It is available once per purchaser. Requests received after the 30-day window, or without a completed action tracker, are not eligible. We determine eligibility in good faith based on your submissions.
